Equipment and Installation Terms
Safeera. Effective . Version 1.0.
These Terms govern a Safeera equipment acquisition and associated installation only when incorporated into an order accepted by both the customer and Safeera. They are general terms for that transaction, not a completed equipment order, financing agreement or guarantee of compute revenue.
1. Accepted order
The order must identify the customer, seller or lessor, equipment owner, approved site, model and configuration, included software, price, taxes, delivery and installation scope, payment milestones, target dates, acceptance criteria, product warranty and service responsibilities. Solar, storage, generators, connectivity and site upgrades are included only when expressly listed. Material commercial terms must be supplied before acceptance; an incomplete quotation is not an accepted order.
The order identifies a purchase or lease. A lease also states its term, payments, ownership, insurance and maintenance duties, permitted use, transfer, default, termination and end-of-term options. A third-party loan has its own lender disclosures and acceptance. No personal guarantee, security interest, purchase option or automatic title transfer is created by these general terms.
2. Configuration and changes
The accepted specification governs GPU configuration, usable capacity, software, power, cooling, dimensions, supported environment and other agreed performance. Peak electrical design load, typical operating load and solar nameplate output are different measures and must not be substituted for one another. Required site capacity is determined for the actual configuration by qualified personnel.
Safeera may propose a substitution or scope change but may not impose a materially different component, performance, price or installation responsibility without agreement. Changes must state their cost and schedule effect. A marketing illustration or future component roadmap does not change an accepted configuration.
3. Site assessment and permits
The customer must provide accurate site information and obtain property-owner permission for agreed access. Safeera and the identified installation provider must assess the matters within their contracted scope. The order allocates responsibility for electrical design, structural support, access, environmental limits, utility coordination, permits and inspections. Each party remains responsible for duties law assigns to it regardless of allocation.
Installation work requiring a license must be performed by appropriately licensed persons. A reservation or website inquiry does not authorize construction. The installer must explain material site work, shutdowns and access requirements before proceeding. Unforeseen conditions require a documented change process; they do not authorize undisclosed charges.
4. Financing and reservation credit
If the order is expressly conditional on financing or site approval, that condition and its deadline govern whether the order proceeds. No lender approval is implied by a quotation or reservation. Funds will not be described as approved lender proceeds before the responsible lender confirms the commitment.
A reservation payment is credited once, only as expressly agreed under the Reservation Agreement. Before conversion it remains refundable under that agreement. After conversion, the accepted order’s lawful cancellation terms govern. Financing payments and marketplace receipts are separate unless the lender and relevant parties expressly agree otherwise.
5. Delivery and risk
The order distinguishes shipment, delivery, installation, commissioning and acceptance. Safeera will provide applicable delay notices, obtain required consent and honor statutory cancellation and refund rights. A force-majeure clause does not waive mandatory shipment obligations or permit retention of funds that law requires to be refunded.
Unless the accepted order lawfully states otherwise, transit risk remains with Safeera until physical delivery at the agreed site. Safeera remains responsible for loss or damage caused by its installation work or contractors. The customer must provide the agreed safe receiving arrangements and promptly report apparent delivery damage without forfeiting rights for concealed defects. Title passes only as the purchase or lease documents state.
6. Commissioning and acceptance
Qualified personnel must complete the agreed installation and commissioning checks before operational release. Acceptance is documented against the order’s criteria, including the relevant configuration, safe electrical and thermal operation, connectivity and agreed functionality. Delivery, a payment milestone, silence or limited diagnostic use is not by itself acceptance of unperformed installation work.
The customer may identify a material nonconformity and require the agreed correction. Safeera will remedy work that fails the accepted requirements. If a material failure cannot be remedied within the agreed period or a reasonable period after notice, the customer may use the termination, replacement, refund or other remedies provided by the order and law. Acceptance does not waive latent-defect, warranty or non-waivable rights.
7. Operation and access
After commissioning, the responsible operator must follow configuration-specific instructions and the supplied Site and Robotics Safety Rules. Do not relocate, materially modify or resell leased or financed equipment contrary to the relevant agreement or law. A service provider’s access is limited to authorized work and lawful emergency action, with protection of private premises and data.
Only accepted marketplace or software agreements authorize remote workloads and control. Equipment purchase or installation does not authorize use of private data for training, robot surveillance or financial actions. Local protective functions must remain safe during service, software updates and account or billing restrictions.
8. Energy equipment and operating economics
An optional energy package has its own specified components, ownership, installation, interconnection, warranty and service scope. Generation varies with design, weather, shading, outages and use. Backup duration and grid independence exist only to the extent validated and expressly committed for the system. Required utility approvals must precede operation that depends on them.
No net-metering payment, utility tariff, tax incentive, financing return, compute utilization or payback period is guaranteed by these Terms. An expressly accepted commitment remains binding according to its scope. Income and energy estimates must identify assumptions, costs and limitations and cannot substitute for the relevant agreement.
9. Warranty, service and safety actions
The product-specific written warranty and accepted service scope must be available before commitment. Safeera will deliver equipment and perform its installation obligations in material conformity with the accepted order and with reasonable skill and care. The Warranty and Service Policy explains service access and preserved rights; it does not replace the product warranty.
Required recall remedies are independent of optional service-plan enrollment. The parties must cooperate with applicable safety notices and lawful remediation. A hardware service restriction or missed payment does not authorize unsafe shutdown or bypass of protective systems.
10. Cancellation and breach
Customer cancellation, custom-build charges and milestone consequences must be disclosed and expressly accepted in the order, and remain subject to mandatory law. No restocking percentage or forfeiture is created by these general terms. Charges must not duplicate retained payments or exceed what the agreement and law allow.
Either party may terminate for a material breach not cured within 15 days after written notice, unless the order provides a different lawful cure period or urgent action is necessary. Termination requires a reconciliation of delivered work, lawful agreed charges, credits and refundable amounts. If Safeera cannot deliver the agreed unperformed portion and no substitute is accepted, it must return payments for that portion subject to any more protective remedy. Return or recovery of equipment must use lawful access and process; this agreement does not authorize forcible entry or self-help that breaches the peace.
11. General and liability
Each party is responsible for its own breach and negligence and for parties it engages within its responsibility. No website liability cap limits equipment, installation or physical-injury claims under this transaction. Any separately negotiated liability allocation must be explicit and lawful. Fraud, willful misconduct, gross negligence, required refunds and non-waivable rights cannot be excluded by these Terms.
The accepted order controls its express commercial terms, these Terms govern the remaining equipment scope, and separate data or financing agreements control their stated subjects. Material changes require both parties’ acceptance. Events beyond reasonable control require prompt notice and mitigation and do not excuse payment for delivered work or legally required refunds. California law applies subject to mandatory law. An expressly accepted dispute clause governs its scope; otherwise disputes may be brought in a court with jurisdiction.
