Supplier Code of Conduct
Safeera. Effective . Version 1.0.
This Code sets standards for suppliers, manufacturers, distributors, brokers, installers, logistics providers, software contractors and other organizations supplying Safeera. It becomes a contractual obligation when incorporated into an accepted agreement or purchase order. “Safeera” means the company of that name. Suppliers must apply relevant requirements to subcontractors involved in Safeera work.
1. Lawful and ethical business
Comply with applicable law and agreed standards. Prohibit bribery, facilitation payments, kickbacks, fraud, conflicts concealed from Safeera, bid rigging and improper influence. Keep complete, accurate records and invoices reflecting actual goods and services. Do not offer benefits to influence selection, acceptance, payment or inspection.
Disclose material ownership, conflicts and the identity of intermediaries when reasonably requested for diligence. Do not route payments or goods through unrelated parties to conceal origin, ownership, sanctions exposure or misconduct. No waiver permits a violation of law.
2. Freely chosen work
Do not use forced, bonded, trafficked, involuntary prison or other unlawfully compelled labor. Workers must be free to leave employment subject to lawful notice and retain access to identity documents. Do not charge workers recruitment fees or use debt, threats or withheld wages to control them. Where recruitment fees have been improperly charged, provide or cooperate in appropriate reimbursement and remedy.
Employment terms must be understandable and supplied before work or migration where required. Recruitment agents must follow equivalent standards. Do not retaliate against workers who raise concerns or seek lawful assistance.
3. Child labor and young workers
Do not employ anyone below the applicable minimum working age or use unlawful child labor. Protect young workers from hazardous tasks, prohibited schedules and work that interferes with required education. Verify age through lawful, proportionate means. If child labor is identified, remediation must protect the child’s welfare rather than simply remove income without an appropriate plan.
4. Pay, hours and respectful treatment
Pay lawful wages, overtime and benefits on time and provide understandable records. Follow applicable limits on working time, breaks and rest. Do not use unlawful deductions as discipline. Respect lawful freedom of association and collective bargaining without interference or retaliation.
Provide a workplace free from unlawful discrimination, harassment, violence, degrading treatment and coercion. Provide reasonable accommodations required by law. Accessible grievance channels must be available to workers, including relevant contractor and migrant workers, without retaliation.
5. Health and safety
Identify and control electrical, chemical, mechanical, thermal, lifting, installation and other hazards. Provide training, suitable protective equipment, emergency arrangements and safe working conditions. Only appropriately qualified persons may perform regulated installation or hazardous service work.
Use documented procedures for safe isolation, stored energy, coolant handling, batteries and transport as applicable. Report serious incidents and product risks affecting Safeera promptly. Do not conceal a failed test or defeat a protective control to meet a shipment date.
6. Product quality and traceability
Supply authentic, lawfully sourced products that meet the accepted specification. Preserve serial and lot identifiers and provide agreed provenance, test, conformity, warranty and service information. Do not substitute components, refurbished goods, firmware or materials without the approval required by the purchase order. A broker’s assurance alone is not sufficient evidence where the risk requires more.
Notify Safeera promptly of suspected counterfeits, defects, recalls, changes affecting safety or interoperability, or an inability to meet an agreed requirement. Cooperate in containment, root-cause analysis and proportionate corrective action. A change that affects power, thermal behavior, security or licensing requires review before supply.
7. Trade controls and sourcing
Comply with applicable export, reexport, sanctions, customs and forced-labor import restrictions. Provide accurate origin, classification and end-user information needed for the transaction. Do not conceal a restricted destination, owner or end use or mislabel a controlled component.
Conduct diligence appropriate to the risks in electronics, minerals, solar equipment, batteries and labor-intensive services. Provide reasonably requested supply-chain information and escalate material gaps. Do not claim that an entire supply chain is verified, conflict-free or free of forced labor without evidence sufficient for that claim.
8. Environment and materials
Follow environmental permits and lawful requirements for emissions, energy equipment, chemicals, hazardous substances, waste and recycling. Handle electronic waste and batteries through appropriate channels. Supply required safety and material information and comply with applicable substance restrictions. Environmental statements to Safeera must identify scope and supporting evidence.
9. Information and intellectual property
Protect Safeera and customer confidential information, limit access and report relevant security incidents promptly. Do not access customer workloads or reuse them for training. Personal-data processing requires the applicable written terms and authorized instructions.
Obtain rights for software, models, designs and contractor or university contributions. Supply required license notices, corresponding source and release information. Do not introduce restricted code, counterfeit software or undisclosed license obligations. An agent-generated deliverable is subject to the same rights and security requirements as human work.
10. Assessment, remedy and consequences
Keep evidence proportionate to the supplied product and risk. Cooperate with reasonable documentation requests and appropriately scoped assessments agreed in the contract, subject to lawful confidentiality and protection of unrelated information. Do not falsify an audit result or obstruct a legitimate inquiry.
If a breach is identified, propose and implement a corrective-action plan proportionate to severity and impacts on affected people. Safeera may suspend affected work, require remediation or end the relationship as the contract and law permit. Serious, deliberate or unremediated breaches may justify immediate action. Responsible disengagement should consider foreseeable harm to workers without continuing unlawful conduct.
