Reservation Agreement
Safeera. Effective . Version 1.0.
This Reservation Agreement is between Safeera, a Delaware corporation (“we” or “us”), and the person or organization identified in the reservation summary (“you”). Safeera’s address is 101 Jefferson Dr., Menlo Park, CA 94025, United States.
Your reservation is refundable until you and Safeera enter into a definitive equipment agreement and expressly apply the reservation payment to it. A reservation is not an equipment purchase, lease, financing commitment, or commitment to purchase compute capacity. Section 10 provides for individual arbitration and a 30-day right to opt out.
1. Reservation and payment
The reservation summary presented before payment and included in your confirmation identifies the customer, selected model and quantity, requested configuration, proposed installation location, intended acquisition method, reservation payment, any payment installments, and any availability estimate. It forms part of this Agreement. A field that does not apply does not create a charge or commitment.
This Agreement takes effect when you affirmatively accept it. Your reservation becomes effective when we receive the required reservation information and full reservation payment and issue written confirmation. Unless the summary expressly provides otherwise, the full reservation payment is due when you reserve. If an installment arrangement is offered, any disclosed remaining reservation balance is due within 10 calendar days. We may cancel an unpaid reservation and refund all amounts received; an unpaid balance does not become a forfeiture or penalty.
You authorize only the reservation charges expressly disclosed and accepted. This Agreement does not authorize recurring charges, a later equipment balance, or a credit application. You must be at least 18 and legally able to contract. A representative of an organization must have authority to bind it. We will email the accepted Agreement and reservation confirmation. Refund duties apply to all reservation funds received, including before confirmation.
2. Configuration and acquisition price
Illustrations, specifications and acquisition prices remain preliminary until confirmed in the definitive equipment agreement. The final configuration will identify the GPU type and quantity, power and cooling requirements, dimensions, software and selected options. Demonstration-unit measurements do not establish the electrical design requirements of another configuration.
Before you commit to an acquisition, we will disclose its total price and payment schedule, including mandatory charges, applicable taxes, delivery, installation, site work and selected services. Solar, storage and backup power are included only when expressly listed. A reservation does not lock financing approval, an interest rate or loan terms. The reservation payment is separate from any later down payment or lease prepayment and will not be charged twice.
3. Allocation and site qualification
As allocation becomes available, we may invite you to complete configuration and site qualification. Approximate priority may depend on timing, model, geography, supply and installation readiness. It is not a guaranteed queue position or delivery allocation.
Qualification may require review of electrical capacity, continuous and peak load, connectivity, structural support, service access, cooling, location restrictions, permits and utility requirements. You will provide accurate information and obtain the property owner’s permission for any assessment. A reservation does not authorize entry, construction or installation. Chargeable assessment or site work requires a separate written agreement and cannot be deducted from the refundable reservation payment.
An acquisition begins only when both parties accept a separate purchase or lease agreement stating the final configuration, price, payment schedule, title, delivery, acceptance, warranty and service obligations (the “Definitive Agreement”). Financing or project documents may also be required. Direct purchase is currently limited to eligible existing Safeera investors. A reservation grants no equity or other ownership interest in Safeera.
The full reservation payment will be credited to the amount due under the Definitive Agreement when both parties expressly agree to apply it. You may decline the proposed terms and receive a refund under section 5.
4. Availability, delivery and installation
An availability estimate is a planning estimate, not a guaranteed shipment, installation or commissioning date. If the selected configuration is discontinued, we will offer a refund or a substitute that you may expressly accept. You are not required to accept a substitute.
We will comply with applicable shipment, delay-notice, delay-consent and refund requirements. Describing a transaction as a reservation does not waive those rights. Where affirmative consent to delay is required, silence will not constitute consent. Installation requires qualified personnel and required permits and approvals. Shipment, installation and operational acceptance will be addressed separately in the Definitive Agreement.
5. Cancellation and refunds
Until both parties accept the Definitive Agreement and expressly apply the reservation payment to it, either party may cancel the reservation at any time for any lawful reason. To cancel, email hello@safeera.ai or legal@safeera.ai with your name and reservation number or other identifying information. You may also use a cancellation function made available in your account. Account access is not required to cancel.
We will refund all reservation amounts paid to us, including taxes collected, within seven business days after cancellation, or sooner if required by law, without cancellation, processing or restocking deductions. Business days are Monday through Friday, excluding U.S. federal holidays. Refunds go to the original payment method. If that method is unavailable or the refund is returned, we will issue a check in the reservation holder’s name or use another mutually agreed lawful method. Payment-provider posting times do not excuse a legal refund deadline.
These rights also apply if site qualification or financing fails before conversion. After conversion, the Definitive Agreement governs cancellation, subject to applicable law. Funds that cannot lawfully be returned will be handled as law requires, with notice to you where permitted.
6. Reservation funds and transfers
Unless applicable law requires otherwise, reservation funds are not held separately or in escrow or trust and do not earn interest. This does not limit any interest or remedy required by law.
You may not transfer the reservation or its priority without our written consent. This restriction does not determine equipment ownership or lender rights under a later agreement. We may request information reasonably necessary to verify identity, eligibility, intended use and lawful fulfillment. If we cannot lawfully proceed, we may cancel subject to section 5.
7. Privacy, software and marketplace services
The Safeera Privacy Policy describes reservation and contact information handling. Any additional payment terms must be identified and supplied before acceptance and cannot override this Agreement’s refund or dispute provisions. Marketing consent is separate. Later website revisions do not amend an accepted reservation without the agreement required by section 9.
Private AI, iFrameOS, Cyber Edition and marketplace participation require their applicable agreements. This reservation creates no compute-purchase obligation and guarantees no utilization, GPU-hour or token price, payout, profit, payback period or resale value. A minimum purchase or price commitment must be stated in a separate accepted capacity schedule identifying the obligor, covered capacity, duration, fees, conditions and remedies. Nothing here excuses unlawful or misleading representations or changes a separately agreed commitment.
8. Liability and preserved rights
To the extent permitted by law, Safeera is not liable for incidental, special or consequential damages arising solely from this reservation, and its aggregate monetary liability under this Agreement is limited to the reservation payment received from you.
These limits do not restrict refunds, required arbitration payments, liability for fraud, willful misconduct, gross negligence, death or personal injury, or any liability or remedy that cannot lawfully be limited. They do not limit obligations under another equipment, installation, service or marketplace agreement. Non-waivable consumer protections and legally protected rights to public injunctive relief remain available.
9. General terms and notices
California law governs, subject to federal law and mandatory protections of your place of residence. The Federal Arbitration Act governs section 10 to the extent applicable. This Agreement and the accepted reservation summary contain the entire reservation agreement, together with any payment terms expressly supplied and accepted. Amendments require both parties’ written or electronic acceptance. A later acquisition agreement governs only its stated subject matter. Unrelated cloud-service or lender terms do not automatically amend this reservation. No integration provision excuses fraud.
Send notices to legal@safeera.ai or Safeera, Attention: Legal, 101 Jefferson Dr., Menlo Park, CA 94025, United States. We will use the contact details you provide. Keep them current. Except as section 10 states, notices take effect on receipt. An invalid provision is severed only to the extent necessary, without impairing the remainder, subject to section 10’s rules.
10. Disputes and arbitration
Except as provided below or if you opt out, covered disputes will be decided by an arbitrator instead of a judge or jury. This section covers disputes between you and Safeera arising from this reservation or related representations, including before acceptance.
Notice and informal resolution. Either party may send written notice describing the dispute and requested resolution. Send yours to legal@safeera.ai or the address in section 9. The parties will attempt resolution for 60 calendar days after receipt. This process does not delay refunds, prevent small-claims filings or regulatory complaints, or bar filings needed to preserve a legal deadline or obtain relief that cannot be delayed.
Procedure. Unresolved covered disputes will be administered by the American Arbitration Association (AAA) before one arbitrator under its Consumer Arbitration Rules where applicable, otherwise its Commercial Arbitration Rules. Rules and filing information are available at https://www.adr.org/. An in-person consumer hearing will take place in your city or county of residence unless you agree otherwise; remote or document proceedings may be used under the applicable rules. A business hearing location will be agreed or determined under those rules. The arbitrator may award lawful relief and will issue a written award enforceable in a court with jurisdiction.
Fees. For a consumer claim you initiate, you pay no more than the lesser of the AAA consumer filing fee or the filing fee for a comparable claim in your local court, subject to fee waivers. Safeera pays the remaining required AAA administrative fees and arbitrator compensation and reimburses your filing fee if you prevail on any claim. For a consumer claim Safeera initiates, Safeera pays all required AAA administrative fees and arbitrator compensation. Business fees follow the applicable AAA rules. Each party bears its own attorney, expert and witness costs unless law, the rules or a lawful award provides otherwise. Safeera will pay additional amounts required to preserve legally protected access to arbitration.
Individual proceedings and exceptions. To the extent lawful, substantive claims proceed individually and may not be consolidated without all affected parties’ consent. This does not prevent administrative coordination allowed by AAA rules or waive non-waivable representative or public-injunction remedies. Either party may bring a qualifying individual claim in small claims court. A court, not the arbitrator, decides formation, enforceability and whether a claim must be arbitrated. Claims or remedies that cannot lawfully be arbitrated proceed in court; remaining arbitrable claims proceed in arbitration. If AAA cannot or declines to administer, either party may proceed in court unless both agree to another administrator after the dispute arises.
30-day opt-out. You may opt out by emailing legal@safeera.ai or mailing the address in section 9 within 30 calendar days after acceptance. Include your name, customer email, reservation number if available and a clear statement that you opt out. Email must be sent without a delivery-failure notice, or mail postmarked, by the deadline. An acknowledgment is not a condition of a timely opt-out. Opting out does not affect priority, refunds or other terms.
This section survives cancellation for disputes within its scope. It does not override a lender’s agreement. A later agreement changes this section only by expressly identifying the change and obtaining both parties’ acceptance; it does not silently undo a prior opt-out for reservation disputes.
